1. Acceptance of Terms
By accessing or using the AgentLattice platform and services (the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Services. We may update these Terms from time to time; continued use of the Services after notice of changes constitutes acceptance of the updated Terms.
2. Definitions
- "AgentLattice"AgentLattice, Inc., a Delaware corporation.
- "Services"The AgentLattice platform, API, SDKs, CLI tools, MCP gateway, and related software and documentation.
- "Customer"The individual or entity that has agreed to these Terms and is authorized to use the Services.
- "Authorized User"An employee, contractor, or agent of the Customer who is authorized by the Customer to use the Services.
- "Agent Data"Action metadata processed through the Services, including agent identifiers, action types, policy evaluation results, and audit records. Agent Data does not include the underlying content or payloads of agent actions.
- "Customer Data"Data submitted by the Customer or its Authorized Users to the Services, including Agent Data and account configuration.
3. Account Terms
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must notify us immediately at security@agentlattice.com of any unauthorized use of your account or API keys.
You may not share account credentials between multiple individuals. Each Authorized User must have their own account. API keys are scoped to specific capabilities; you are responsible for the actions of any agent or system using your API keys.
You must be at least 18 years old to use the Services. The Services are not directed to children under 13.
4. Acceptable Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services to facilitate unauthorized access to third-party systems or data
- Attempt to circumvent or disable the Services' security controls, rate limits, or policy enforcement
- Use the Services to process data in violation of applicable privacy laws or the rights of data subjects
- Reverse engineer, decompile, or derive source code from the Services
- Resell, sublicense, or offer the Services as a standalone product to third parties without our written consent
- Use the Services to generate, store, or transmit content that is unlawful, harmful, or infringes third-party rights
- Interfere with or disrupt the Services or servers or networks connected to the Services
- Use the Services to train machine learning models or AI systems without our prior written consent
We reserve the right to suspend or terminate access for violations of this section.
5. Services and Availability
AgentLattice provides an identity and access management platform for AI agents, including agent identity provisioning, policy enforcement, tamper-proof audit logging, behavioral anomaly detection, and human-in-the-loop approval workflows.
We target 99.9% monthly uptime, measured as described in our Service Level Agreement (SLA). Scheduled maintenance, third-party infrastructure failures, and events outside our reasonable control are excluded from uptime calculations.
We may modify, suspend, or discontinue any feature of the Services with reasonable notice. For material reductions in functionality, we will provide at least 30 days' advance notice to paid customers.
6. Data Processing and Privacy
Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.
AgentLattice processes action metadata on your behalf as a data processor. We do not access, store, or transmit the underlying content of your agents' actions — only metadata describing what type of action occurred, what resource category was affected, and the policy outcome.
Enterprise customers requiring a Data Processing Agreement (DPA) for GDPR compliance may request one at security@agentlattice.com. A DPA template is available on our Security page.
7. Payment and Billing
Paid Services are billed in advance on a monthly or annual basis. All fees are in USD and are non-refundable except as required by applicable law or as expressly stated in these Terms.
Payment is processed by Stripe. We do not store your payment card information. By providing payment information, you authorize us to charge the applicable fees to your payment method.
If a payment fails, we will notify you and may suspend your access to paid features after a grace period. We will restore access promptly upon successful payment.
We may adjust pricing with 30 days' notice. Price changes for annual plans take effect at renewal.
8. Intellectual Property
AgentLattice and its licensors retain all ownership of the Services, including all software, documentation, trademarks, and related intellectual property. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services as described herein.
You retain all ownership of Customer Data. By submitting Customer Data to the Services, you grant AgentLattice a limited, non-exclusive license to process Customer Data solely to provide and improve the Services.
Feedback you provide about the Services may be used by AgentLattice without restriction or compensation to you.
9. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information").
Neither party will disclose Confidential Information to third parties without prior written consent, except to employees, contractors, and advisors with a need to know who are bound by confidentiality obligations at least as protective as these Terms.
Confidentiality obligations do not apply to information that is or becomes publicly known through no breach of these Terms, is independently developed, or is required to be disclosed by law (with prompt notice to the disclosing party where permitted).
10. Warranties and Disclaimers
Each party warrants that it has the legal authority to enter into these Terms and that its performance will not violate any agreement with a third party.
THE SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTLATTICE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AGENTLATTICE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL AGENTLATTICE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF AGENTLATTICE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGENTLATTICE'S TOTAL AGGREGATE LIABILITY TO YOU FOR CLAIMS ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AGENTLATTICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so the above may not apply to you in full.
12. Indemnification
You agree to indemnify, defend, and hold harmless AgentLattice and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services in violation of these Terms; (b) Customer Data that infringes or misappropriates a third party's rights; or (c) your violation of applicable law.
13. Termination
Either party may terminate these Terms at any time with 30 days' written notice. We may suspend or terminate your access immediately for material violations of these Terms, including non-payment, illegal use, or security incidents caused by your account.
Upon termination, your right to access the Services ends. We will retain your data for 90 days after termination, during which you may request export. After that period, we will delete your data unless required by law to retain it.
Sections 8–12 and 14–16 survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Services will be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in San Francisco, California. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. General Provisions
Entire Agreement. These Terms and any applicable Order Form constitute the entire agreement between you and AgentLattice regarding the Services and supersede all prior agreements.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
Waiver. Failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices. Legal notices to AgentLattice should be sent to legal@agentlattice.com or AgentLattice, Inc., 548 Market St PMB 78213, San Francisco, CA 94104.
Force Majeure. Neither party is liable for delays or failures caused by events outside their reasonable control.
16. Changes to Terms
We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect (14 days for non-material changes). Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
If you do not agree to the revised Terms, you may terminate your account before the effective date.
